1. MAINTENANCE SERVICES:

A. Ordinary Repairs: Armstrong Garage Doors, Inc. shall respond to a customer service call on equipment listed on the attached equipment schedule by sending a fully qualified service engineer to the customer site within (4) four work hours of receipt of call, provided that this time is within the normal maintenance hours of 9:00AM to 5:00 PM for (5) five days each week, Monday thru Friday, inclusive. Each service call dispatched to customers site during regular business hours shall be discounted (50%) fifty percent from Armstrong Garage Doors, Inc.’s standard hourly service charge rate. Armstrong Garage Doors, Inc. agrees that all calls made within the normal maintenance hours shall be responded to and deemed within the scope of the maintenance agreement. Maintenance commenced during normal hours that require the service engineer to remain at the customer’s site beyond the normal maintenance hours shall be covered by this maintenance agreement.

B. Preventative Maintenance: Armstrong Garage Doors, Inc. shall provide to it’s customers preventative maintenance of the garage, overhead, dock doors and associated equipment listed on the attached equipment schedule which are owned or operated by _____________________________, customer. The preventative maintenance does not include replacement of normal springs, door panels, door slats rollers, hinges tracks, cables, bumpers, dock levelers, restraint devices, dock shelters and any operating or safety systems. Armstrong Garage Doors, Inc. shall provide its customer with a preventative maintenance once every (3) three months. Which shall include lubing, spring adjustments, potential break downs, check motor limits and over all safety precautions of each door. Any parts that are discovered broken, damaged or unsafe through preventative maintenance, service call or emergency service visit that exceeds ____________, shall be approved prior to repair.

2. PAYMENT AND AGREEMENT TERMS:

In return for receiving ordinary repair, including all parts and labor, and preventative maintenance services, customers shall pay to Armstrong Garage Doors, Inc. the sum of $_______for each month which this agreement is in effect. Armstrong Garage Doors, Inc. will bill customer in advance for (3) three month’s service. This agreement shall be in effect for a period of (12) twelve months following its signing and shall automatically renew for an additional (12) twelve months thereafter.

3. ITEMS EXCLUDED FROM THE MAINTENANCE AGREEMENT:

The following items are not covered by the monthly maintenance charge:

A. Service requested after contract hours.

B. Electrical work over (110) one hundred ten volts.

C. Damage caused by earthquake, hurricane, tornado, lightning, flood, rain, or similar natural event.

D. Repair or damage resulting from the following conditions: unauthorized changes to the equipment, accident,transportation, neglect, abuse or misuse outside the ordinary wear and tear on the equipment, failure of air conditioning or humidity or other weather conditions.

E. Supplies or accessories, relocating or transporting equipment, except for preventative or maintenance purposes, adding or removing accessories, attatchment or other such devices.

F. Injuries or damage caused by other than Armstrong Garage Doors, Inc. personnel including installation and deinstallation.

G. Damage resulting from external mechanical or electrical equipment.

H. Manufacturer’s recommended specification changes or improvements.

4. CUSTOMER RESPONSIBILITIES:

It is the responsibility of the customer to ensure that all of it’s overhead, dock garage doors model and manufacturer are documented prior to Armstrong Garage Doors, Inc. undertaking any work on customer’s equipment. Armstrong Garage Doors, Inc. can not be responsible for any discontinued parts, parts that are placed into back order and or any parts from a manufacture that are unavailable.

5. AFTER BUSINESS HOURS SERVICE:

Should the customer specifically request maintenance service at a time outside the normal maintenance hours, such service shall be discounted by (50%) fifty percent. The after hours shall be for a minimum of (2) two hours per call at Armstrong Garage Doors, Inc.’s current rates, which shall be provided to the customer as such rates may change, and shall be invoiced seperately.

6. ATTORNEY’S FEES:

Should either party to this agreement bring an action to enforce any terms of this agreement the prevailing party in such legal proceeding shall be entitled to a reasonable attorney’s fee.
